By using the website at mcodes.co.ke or engaging M-Codes Digital Agency ("M-Codes", "we", "us") for services, you agree to these Terms of Service. Please read them carefully.
1. Services
M-Codes provides digital services including website and mobile application development, social media management, and branding & design. The specific scope, timeline, and deliverables for each project are agreed upon in a separate written proposal or service agreement before work begins.
2. Client Responsibilities
To enable us to deliver your project effectively, you agree to:
- Provide accurate and complete information required for the project
- Respond to feedback requests and reviews within agreed timelines
- Supply all content (text, images, logos) unless content creation is included in scope
- Ensure you have the rights to any materials you provide to us
3. Payment
Payment terms are outlined in your individual project proposal. Typically, a deposit is required before work commences, with the balance due upon project completion or as agreed in milestones. Work will not be handed over or deployed until full payment is received unless otherwise agreed in writing.
4. Intellectual Property
Upon receipt of full payment, all custom deliverables created for your project become your property. M-Codes retains the right to display completed work in our portfolio and marketing materials unless you expressly request otherwise in writing. We retain ownership of any pre-existing tools, frameworks, and code libraries used to build your project.
5. Revisions and Scope Changes
Each project includes a reasonable number of revisions as defined in your proposal. Requests that fall outside the agreed scope will be quoted separately. We will always communicate before proceeding with any out-of-scope work.
6. Confidentiality
We treat all client information as confidential and will not disclose your business details, strategies, or project specifics to any third party without your consent, except as required by law.
7. Limitation of Liability
M-Codes is not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability in any dispute shall not exceed the amount paid for the specific service in question.
8. Termination
Either party may terminate a project engagement with 14 days written notice. In the event of termination, you are liable for payment for all work completed up to the termination date. Deposits are non-refundable once work has commenced.
9. Governing Law
These Terms are governed by the laws of the Republic of Kenya. Any disputes will be resolved under Kenyan jurisdiction.
